Terms and Conditions of Registration and Account Use

Welcome to StrayPOS by Straydos Technologies LTD (the "Platform"). By registering an account, accessing, or using our services, you ("User", "Account Holder", or "Tenant") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not create an account or use the Platform.
1. Account Creation and Registration

Eligibility: To register for an account, you must be a legally recognized business entity or an individual of at least 18 years of age capable of entering into legally binding contracts.

Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

Credentials Security: You are solely responsible for maintaining the confidentiality of your account login credentials (usernames and passwords). Any activity occurring under your account is your responsibility. You must notify us immediately of any unauthorized use or security breach.
2. Multi-Tenancy and Workspace Isolation

Tenant Workspaces: Upon successful registration, you will be allocated a distinct workspace or instance (a "Tenant Instance").

Data Isolation: The Platform utilizes technical measures to isolate your operational data from other users. You retain full ownership of the data, inputs, and operational logs processed within your instance.

Authorized Access: You may provision access to additional users (e.g., employees, managers, auditors) within your workspace. You are responsible for setting appropriate permission levels and for all actions taken by users you authorize.
3. Subscription Packages, Billing, and Fees

Tier Selection: Features, limitations (such as the number of active outlets, registers, or hubs), and pricing vary based on the subscription tier selected during registration.

Payment Terms: Fees are billed in advance on a recurring basis (monthly or annually) depending on your selection. All payments are non-refundable unless explicitly stated otherwise.

Downgrades and Upgrades: Upgrading your tier will result in immediate access to premium features and prorated billing. Downgrade requests will take effect at the end of the current billing cycle; downgrading may result in the loss of features, capacity, or data storage limits associated with the higher tier.

Taxes: Unless otherwise stated, all fees are exclusive of applicable regional taxes, VAT, or duties, which will be calculated and added to your invoice where legally required.
4. Acceptable Use and Restrictions
You agree not to, and will not permit authorized users to:

Use the Platform for any illegal, fraudulent, or unauthorized purposes.

Reverse engineer, decompile, or attempt to extract the source code of the Platform.

Interfere with, disrupt, or compromise the integrity, security, or performance of the Platform's multi-tenant architecture.

Input data or material that infringes on third-party intellectual property, privacy rights, or contains malicious code/viruses.
5. Compliance, Auditing, and Data Logs

Audit-Ready Logs: For tiers featuring system logging and compliance tracking, the Platform maintains records of system actions (e.g., transaction voids, role modifications). While we ensure high availability and data integrity, you are responsible for cross-verifying compliance data with your local regulatory frameworks.

Regulatory Inspections: If you operate in a high-compliance framework (such as financial reporting, pharmacy metrics, or ministry guidelines), you are responsible for provisioning proper, restricted observer access to external auditors if required.
6. Suspension and Termination

Termination by User: You may cancel your subscription and close your account at any time through your dashboard settings. Termination will take effect at the end of your prepaid billing period.

Suspension by Platform: We reserve the right to temporarily suspend or permanently terminate your account without notice if you breach these Terms, fail to clear outstanding subscription fees, or engage in activities that threaten the security and performance of the Platform for other tenants.

Data Export Upon Termination: Upon account termination, you will have a grace period of 30 days to export your historical business data, after which your tenant data may be permanently deleted from our active production databases.
7. Limitation of Liability and Disclaimers

"As Is" Basis: The Platform is provided on an "as is" and "as available" basis. We do not warrant that the platform will be entirely uninterrupted, error-free, or compatible with all third-party hardware (e.g., specific POS receipt printers or legacy terminals).

Limitation of Liability: To the maximum extent permitted by applicable law, Straydos Technologis LTD shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, data, or business opportunities, arising out of or connected to your use of the Platform.
8. Amendments to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes via the email address linked to your account or through an in-app notification dashboard. Continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles.
